These Terms of Service ("Terms") govern your access to and use of the websites, mobile applications, and services ("Services") provided by Callinan Group Pty Ltd ("Callinan Group", "we", "us", or "our"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using our Services, you confirm that you are at least 18 years of age and have the legal authority to enter into these Terms. If you are using the Services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Description of Services

Callinan Group provides technology solutions including data intelligence platforms, field service applications, industrial connectivity solutions, and related mobile applications and services. Our Services are designed for use by professionals in industrial and commercial environments.

3. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must notify us immediately of any unauthorised use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of applicable regulations.
  • Reverse engineer, decompile, or disassemble any part of the Services.
  • Attempt to gain unauthorised access to our systems or other users' accounts.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Upload malicious code, viruses, or harmful content.
  • Use the Services to collect information about other users without their consent.
  • Resell, sublicense, or redistribute the Services without written authorisation.

5. Your Data

5.1 Ownership

You retain all ownership rights to the data you submit to, create through, or receive from our Services ("Your Data"). We do not claim any ownership of Your Data.

5.2 Processing

You submit data to our platform for processing. We process it and return the results to you. We do not retain your operational data after processing is complete. You are responsible for storing and managing all results and operational data on your own systems.

5.3 Processing Licence

You grant us a limited, non-exclusive licence to process Your Data solely for the purpose of delivering the Services. This licence does not include any right to permanently store, redistribute, or sublicence Your Data. This licence terminates upon completion of each processing request.

5.4 Aggregated Data

We may collect and use anonymised, non-identifiable aggregate data (such as processing volumes and general performance metrics) for service improvement. This aggregate data cannot be used to identify any individual, organisation, or specific data record.

5.5 Data Portability

All results returned by our Services are delivered in standard, open formats that you may store and use without dependency on our platform.

6. Intellectual Property

6.1 Our Property

The Services, including all software, algorithms, designs, documentation, and trademarks, are the exclusive property of Callinan Group and are protected by Australian and international intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited right to use the Services as described herein.

6.2 Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant us a non-exclusive, royalty-free, perpetual licence to use that feedback for any purpose without obligation to you.

7. Third-Party Services

Our Services may integrate with or contain links to third-party services. We are not responsible for the availability, accuracy, or practices of third-party services. Your use of third-party services is governed by their respective terms and policies.

8. Fees and Payment

  • Fees for the Services are as set out in your service agreement or as published on our website.
  • All fees are in Australian dollars unless otherwise specified.
  • We may change our fees with 30 days' written notice.
  • Failure to pay fees may result in suspension or termination of access.

9. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Important limitations:

  • Intelligent features, including data extraction, condition assessment, and analytics, provide estimates, suggestions, and decision-support information only. They do not constitute professional advice and are not guaranteed to be accurate or complete.
  • Our Services are not a substitute for professional engineering judgement, certified inspections, qualified assessments, or regulatory compliance determinations. All outputs must be reviewed and verified by appropriately qualified personnel.
  • Data extracted through our Services must be verified by qualified personnel before use in any safety-critical, operational, or compliance application.
  • Callinan Group does not warrant that the Services will identify all defects, anomalies, or issues, or that outputs will accurately forecast future behaviour.
  • You are solely responsible for decisions made based on information provided by the Services. Callinan Group accepts no responsibility for actions taken or not taken based on outputs of the software.

10. Limitation of Liability

To the maximum extent permitted by law, Callinan Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Services.

Our total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by you to Callinan Group in the twelve (12) months preceding the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Australian Consumer Law.

11. Indemnification

You agree to indemnify and hold harmless Callinan Group and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

  • Either party may terminate the service agreement with 30 days' written notice.
  • We may suspend or terminate your access for violation of these Terms with reasonable notice, or immediately in cases of serious breach.
  • Upon termination, your access to our Services ceases. All data previously returned to you remains yours.
  • Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) will survive.

13. Governing Law

These Terms are governed by the laws of the State of New South Wales, Australia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Services at least 14 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the modified Terms.

15. General

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Callinan Group regarding the Services.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms shall not be construed as a waiver of that provision.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent.
